Frequently asked questions
What global businesses ask us before working with a Korean law firm. If your question is not here, send it to us — an attorney answers.
LawKit is the contract drafting and review service run directly by OhKims Law.
The firm has sat on both sides of core corporate deals and has analysed thousands of contracts and court decisions. LawKit turns that into a way to shut down contract risk before it reaches your business.
It is not a self-serve document tool. Every file goes through two passes:
- A first automated pass against a verified contract and case-law database isolates risk quickly and precisely.
- A second pass by an experienced attorney turns that into a position that fits your actual deal and industry.
From the moment a contract is uploaded, LawKit’s system and a qualified attorney work the file together — so what you get back is a legal safety net, not a list of flagged words.
Yes. English-language contracts are reviewed and drafted by our attorneys directly — no intermediary, no translation round-trip.
Cross-border experience
OhKims Law has handled contracts with multinational corporates and investors — trade, investment, licensing and partnership — and advises from real international dispute and case experience.
Where two legal systems meet
Where Korean law and foreign law both apply, we check the exposure on both sides and factor in your business model and the specifics of your industry.
This is not translation-level review. It is practical legal risk management for cross-border business — which is exactly why LawKit exists in English.
Plenty of services now run contracts through a model automatically. A model alone has a ceiling.
AI is strong at finding risky words and patterns. It is weak at the things that decide a deal: the context of the transaction, the strategy behind a clause, and where the negotiating leverage actually sits.
The attorney covers what the model misses
- A model cannot tell you how a clause will hurt you in the negotiation, or whether it is appropriate given the way your industry actually works.
- OhKims attorneys have handled a large number of core corporate contracts, and they name the practical traps and dispute risks a model does not see.
Fast without being shallow
The result is a review that is quick but does not skip the part that matters — a legal safety net rather than a keyword checker.
Anyone whose contract is governed by Korean law or has a Korean counterparty. LawKit is worth the most where there is no in-house legal team, or where a critical deal needs a second set of eyes.
Startups and SMEs
Signing investment, partnership, employment and MOU documents at speed, with no dedicated legal team behind them.
Mid-market and large corporates
In-house counsel who want an outside second opinion on a core contract or a significant deal, grounded in Korean practice and case law.
Investors and founders
Investment agreements, share agreements and co-founder agreements — the documents that decide the shape of the business.
Professionals and independent contractors
Service agreements, project contracts and IP terms, where the protection you need has to be written in before you sign.
From company-defining transactions down to routine employment paperwork. We tier them by how much damage they can do.
High — core, high-risk
- Business and asset transfer agreements
- Share purchase agreements
- Shareholders’ agreements
- Investment agreements
- Joint venture (JV) agreements
Large investments, equity transactions and M&A can affect the whole company if they go wrong. These always warrant attorney review.
Medium — operational
- SaaS and cloud service agreements
- OEM / ODM and contract manufacturing agreements
- Assignment of receivables and assumption of debt
- Franchise agreements
- Supply, distribution and licence agreements
Common in IT, manufacturing, distribution and franchising — where a single clause can be the difference between a margin and a loss.
Low — day-to-day
- Employment contracts
- Severance settlement agreements
- NDAs and confidentiality undertakings
- Non-compete and non-solicitation undertakings
- Freelance and part-time contracts
Routine does not mean harmless — these are binding, and a careless signature is where disputes start.
Three turnaround options, priced by urgency.
- Ultra-rush — within 1 business day (+50%). An attorney is assigned at top priority.
- Rush — within 2 business days (+30%). For a tight signing date or a fast-moving negotiation.
- Standard — within 3 business days (no surcharge). The default most clients choose.
When the clock starts
The turnaround reflects the attorney’s actual working time, so it starts once you have submitted everything required and completed payment.
A base fee set by how much is at stake, plus any options you choose, plus an urgency surcharge if you need it sooner.
Base fee, by contract tier
- High (core contracts): KRW 500,000
- Medium (operational contracts): KRW 400,000
- Low (day-to-day contracts): KRW 300,000
Drafting options
- Recommended clauses (+KRW 200,000) — clauses tailored to the contract type and the background of the deal, to prevent disputes and protect your position.
- Further revisions — one round free after the attorney’s opinion, then KRW 50,000 per round.
Review options
- First 3 pages included, at no extra cost.
- Beyond 3 pages: +KRW 100,000 per page.
- Formatting clean-up (+KRW 100,000) — fonts, indentation and inconsistent notation tidied for readability.
- Recommended clauses (+KRW 200,000).
Urgency (applies to both drafting and review)
- Ultra-rush (within 1 business day): +50% of the base fee
- Rush (within 2 business days): +30% of the base fee
- Standard (within 3 business days): no surcharge
Your final cost is base fee + options + urgency. Standalone services such as legal opinions, corporate minutes and incorporation documents have their own published fee guide on the Pricing page. All amounts exclude VAT.
Before work starts
Even after payment, you get a full refund as long as the attorney has not begun the review or the draft.
After the result is delivered
Once the attorney’s final review or the draft contract has been handed over, the fee is not refundable.
The exception: where there is a service-quality problem or a system error, we refund after looking into it.
